Welcome
This page is the central index of the legal documents that govern Customer's use of the Services provided by PAPEROFFICE ENTERPRISE OPERATIONS, S.L.U. ("PaperOffice"). The Services are intended exclusively for business customers (B2B) and are not offered to consumers.
The Agreement Documents are provided in English only. The English version is the sole legally binding version and controls all access, interpretation, and enforcement of the Agreement.
Important Notice Before You Continue
By registering for an Account, accessing the Services, executing an Order Form, or otherwise indicating acceptance, Customer agrees to be bound by the documents listed below. If Customer does not agree to these documents, Customer should not access or use the Services.
These documents are designed to set forth the rules of engagement clearly and transparently. They are intended to apply uniformly to all customers, regardless of jurisdiction, with the protective effect of applicable mandatory law preserved through the provision "to the maximum extent permitted by applicable law" used throughout. Customer is encouraged to review the documents carefully and to seek independent legal advice where appropriate.
The Agreement Documents
The Agreement between PaperOffice and Customer consists of the following documents, which together form an integrated whole.
1. Master Service Agreement (MSA)
The central legal framework. The MSA establishes the parties, the grant of rights, the customer's responsibilities, the allocation of intellectual property, the limitation of liability, and all other foundational terms.
2. Service Description
A non-binding description of the Services, the available modules, the AI Tiers, and the boundaries of the Services. The Service Description is informational and reflects the Services as of its effective date.
3. Pricing and Billing Terms
The terms governing fees, pricing, the Wallet (Account Balance), the Credit system, Auto-Recharge, payment, suspension for non-payment, and tax. This document explains how charging works in detail, including the prepaid Wallet model, Auto-Recharge mechanics, and the rules around Wallet balance refundability and expiration.
4. Acceptable Use Policy (AUP)
The rules defining prohibited and restricted uses of the Services. The AUP covers illegal use, harm to persons and systems, misuse of AI capabilities, abuse of resources, competitive use, privacy violations, and other categories of prohibited conduct. Violations of the AUP may result in suspension or termination.
5. Service Level Agreement (SLA)
The availability target (99.9%), the calculation of availability, the definition of unavailability, scheduled maintenance, the Service Credit schedule, and the support response targets. The SLA also clarifies what is excluded from availability calculations and what remedies are available.
6. Support Terms
The commercial conditions for support beyond the support included in Customer's Plan. The Support Terms set forth the time-and-materials charging model, the three skill-tier hourly rates (L1, L2, L3), the six-minute increment, the twelve-minute minimum charge per ticket, the optional Customer-defined Cap, and the goodwill refund for confirmed Defects.
7. AI Acceptable Use and Output Disclaimer
The terms governing AI features, including the foundational acknowledgment of the probabilistic nature of AI Outputs, the rules around Tier selection and Tool Flow combinatorics, the EU AI Act allocation of roles, the prohibited AI uses, and Customer's responsibilities for verification, human oversight, and end-user disclosures.

8. Sub-Processor List
The list of sub-processors engaged by PaperOffice to provide the Services, organized by category. The authoritative current list is generated through the in-platform Compliance Package generator. This document also describes the notification process for new sub-processors and Customer's right to object on reasonable data protection grounds.
9. Data Processing Agreement (DPA) Reference
A reference document explaining how PaperOffice provides the Article 28 GDPR Data Processing Agreement. The actual DPA, together with the Technical and Organizational Measures (Article 32 GDPR) and the customer-specific Sub-Processor List, is generated through the in-platform Compliance Package generator and is incorporated into the Agreement upon acceptance.
10. Technical and Organizational Measures (TOM) Reference
A reference document describing how PaperOffice documents Article 32 GDPR technical and organizational measures. The authoritative customer-specific TOM is generated through the in-platform Compliance Package generator.
11. Device Fingerprint API — Developer Compliance Guide
Integrator guide for the Device Fingerprint / Device Intelligence API under the Customer-Responsibility model: Controller vs Processor, retention, Art. 17 forget delegation, tenant isolation, and Network Intelligence.
Order of Precedence
In the event of conflict between the Agreement Documents, the order of precedence is:
- Any executed Order Form or Quote;
- The Data Processing Agreement (for matters of personal data processing);
- The Master Service Agreement;
- The Pricing and Billing Terms;
- The Service Level Agreement;
- The Support Terms;
- The AI Acceptable Use and Output Disclaimer;
- The Service Description;
- The Acceptable Use Policy.
Languages
English Is Binding
The legally binding original of every Agreement Document is the English version. Translations are made available for convenience only.
Compliance Package Languages
The Compliance Package (containing the DPA, the TOM, and the Sub-Processor List) may be generated through the in-platform tool in any of thirty-five (35) supported languages. The English version of the Compliance Package is the legally binding version.
English-Only Agreement Documents
The Agreement Documents are provided in English only. Localized pages may provide navigation, explanatory notices, or access points for convenience, but they do not create translated contractual versions.
How These Documents Apply Together
The MSA is the central agreement. The other documents supplement it. Together they form a single integrated agreement covering:
- Who the parties are and what each promises to do (MSA);
- What the Services are (Service Description);
- What things cost and how the Wallet works (Pricing and Billing Terms);
- What Customer is allowed and not allowed to do (AUP);
- What service levels Customer can expect (SLA);
- How support is charged (Support Terms);
- How AI features work and what Customer is responsible for (AI Disclaimer);
- How personal data is processed and protected (DPA Reference, Sub-Processor List).
When You Accept
By accepting these documents (through Account registration, Order Form execution, electronic acceptance, or use of the Services), Customer:
(a) Confirms that it is acting in the course of a business, trade, profession, or commercial activity (B2B);
(b) Confirms that the individual accepting on behalf of Customer has authority to bind Customer;
(c) Agrees to all of the Agreement Documents listed above;
(d) Acknowledges receiving and reviewing all of them, with the opportunity to seek independent legal advice;
(e) Acknowledges that the English-language versions are the legally binding originals.
Modifications
PaperOffice may modify the Agreement Documents from time to time, as set forth in Section 11 of the MSA. Material modifications are notified at least thirty (30) days in advance with the right to object. Continued use of the Services after the effective date of a modification constitutes acceptance.
The version history of each document is available on request.
Governing Law and Jurisdiction
The Agreement is governed by the laws of the Kingdom of Spain. The exclusive jurisdiction for disputes is the courts of Pamplona (Navarra), Spain. Proceedings are conducted in English or Spanish at PaperOffice's election. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
